1. Acceptance of Terms

By accessing or using the UltimateIntel.ai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

UltimateIntel.ai is an AI-powered business intelligence platform that connects to your SaaS tools (CRM, billing, support, product analytics), ingests and unifies data into a cross-system warehouse, and provides natural-language query-driven intelligence with evidence-tiered explanations, proactive morning briefs, anomaly detection, and an MCP server for AI agent access.

The Service is provided on a subscription basis with a credit-based billing model. Features and capabilities may vary by subscription plan tier.

3. User Accounts

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Each organization ("Tenant") has a dedicated workspace with strict data isolation. Tenant administrators are responsible for managing user access within their organization.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service beyond the provided API, unless authorized
  • Resell, sublicense, or redistribute the Service without prior written consent

5. Data Processing

UltimateIntel.ai processes data from your connected third-party services solely to provide the intelligence features of the Service. We act as a data processor on your behalf. Data is processed in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA.

You represent that you have the necessary rights and permissions to connect your third-party data sources and that the data processed through the Service complies with all applicable laws.

AI-generated responses, insights, and analyses are provided as informational guidance and should not be treated as definitive business, legal, or financial advice. You are responsible for validating outputs before making business decisions based on them.

6. Intellectual Property

The Service, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by UltimateIntel.ai. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

You retain all rights to the data you connect to the Service. Any insights, reports, or analyses generated from your data belong to you.

7. Billing and Credits

The Service uses a credit-based billing system. Credits are deducted for queries, brief generation, predictions, and other compute-intensive operations. Credit costs vary by operation type and complexity. Subscription plans include a monthly credit allocation that resets on your billing cycle.

All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' advance notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTIMATEINTEL.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

You may terminate your account at any time through the account settings. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we determine that your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination. After 30 days, we will delete your data in accordance with our data retention policy unless required by law to retain it.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
